Client Terms Management

Client terms management, also known as outside counsel guidelines management, or OCGs, refers to tools that help law firms capture, organize, and enforce the negotiated billing rules and requirements that corporate clients impose as part of panel engagements. Outside counsel guidelines can be lengthy and highly specific, differing from client to client, and are difficult to track manually, particularly for larger firms serving many clients at once. These solutions ingest OCG documents, internal firm billing policies, and historical payment data to build a rule set for each client defining what will and will not be approved for billing. Rules are then applied at one or more points in the billing lifecycle, including at time capture, time entry submission, and pre-bill review, to flag rates, discounts, fee arrangements, or narrative language that would violate a client's terms before an invoice is sent. This reduces write-offs, rejected invoices, and disputes that arise when billing does not align with negotiated terms. Generative AI has become central to this category. Large language models extract and classify billing rules directly from OCG documents rather than requiring manual configuration, and generate suggested compliant rewrites of non-compliant time entries that timekeepers can accept, edit, or dismiss.
