Overview

useABI is a generative AI platform designed to function as a configurable AI associate for law firm M&A practices, supporting a transaction from deal intake through diligence and contract markup.

Key features and functions include:

Firm-Customized AI Associate
The platform is configured during onboarding to reflect an individual firm’s negotiating positions and drafting conventions, which are applied automatically to subsequent document generation. Firms can give the configured associate a name of its own.

Deal Workspace and Multiplayer Collaboration
Each transaction is organized within a dedicated workspace where partners, associates and specialists can add documents, set deal parameters and access generated work product together. Multiple team members work with the same configured associate on the same deal and documents.

Purchase Agreement Markup and Issues Lists
From a seller’s purchase agreement and data room materials, the platform generates a buy-side markup in tracked changes, an issues list and a supplemental information request list. The issues list is generated in under five minutes, with the remaining deliverables in approximately 30 minutes.

Automated Diligence Review
The platform processes uploaded transaction documents, including materials exported from a virtual data room, into structured contract diligence trackers and narrative diligence reports. It identifies relevant contractual provisions, such as change-of-control clauses, and evaluates whether a proposed transaction would trigger them.

Institutional Knowledge Capture
A feature called Insights analyzes a firm’s previously completed purchase agreements across a set of deal-information categories, allowing attorneys to query the firm’s historical transaction data in natural language to inform current deal work.

Sourced and Reviewable Output
Generated work product includes the reasoning and basis behind each change or recommendation, allowing attorneys to review it before it is shared with a client.
