TermScout Certify

TermScout Certify

Overview

TermScout Certify is an AI-assisted contract analysis and benchmarking platform designed to support procurement, legal, and finance teams in evaluating vendor agreements. The platform analyzes contracts at the clause level and compares terms against market data to generate structured contract signals, enabling faster and more consistent intake and approval decisions without generating redlines. TermScout also offers TrustMark, an independent certification service through which vendors can have their standard agreements reviewed and certified as balanced or customer-favorable, a complementary product that operates on the vendor side of the contracting relationship.

Key Features & Functions:

Clause-Level Contract Analysis
Contracts are analyzed at the clause level, with a focus on risk allocation provisions including liability structures, indemnity, termination rights, and data and security governance terms.

Market Benchmarking
Analyzed terms are compared against a database of market agreements to identify whether provisions are within market range, outside market range, or materially outside. This supports pre-negotiation assessment of vendor contract posture.

Contract Signals for Intake Triage
Structured contract signals are generated at intake to help procurement teams prioritize which agreements require escalation to legal, negotiation, or can proceed to approval without further review.

Post-Approval Change Detection (Monitor)
The platform detects meaningful changes to vendor contract terms after initial approval, providing visibility into portfolio drift over time.

Vendor and Portfolio Profiling
Aggregated analysis across agreements supports side-by-side vendor comparison, risk concentration analysis, and portfolio-level contract intelligence.

Cross-Functional Visibility
A shared contract intelligence layer provides consistent contract signal data across procurement, legal, and finance teams to support aligned decision-making.
