Syntheia Curate is built around the sequence a fund formation team actually works through: side letters arrive over months of negotiation, the master side letter has to stay current as they do, MFN eligibility depends on where each investor sits against the fund's commitment tiers, and the answers are needed again years after closing. Curate holds that whole sequence in one place, so the record built during formation is the same record fund finance and the deal team query for the life of the fund.
Side letter ingestion during negotiation
Side letters are ingested as they are negotiated and signed, rather than reconstructed from a pile of executed documents after close. Provisions are extracted and attributed to the investor holding them, so the picture stays current while the fund is still being raised.
Master side letter
Curate maintains a master side letter showing which provisions each investor holds, updated as new letters are signed. This replaces the manually assembled compendium and stays consistent as terms are added, so the team can see what has been granted across the investor base at any point in the raise.
MFN election form generation
Election forms are generated from the commitment tiers and eligibility conditions set for the fund, rather than assembled by hand for each investor. Eligibility follows the fund's own rules, so which provisions appear on which investor's form is determined by the parameters the team has configured.
Election tracking
Elections can be tracked automatically through a DocuSign integration, or updated manually where a response arrives another way. Both routes write to the same record, so the state of the election process is visible without reconciling a separate tracker.
A record that outlives formation
Each investor's original terms and every election they made remain searchable after the fund closes, available to the deal team and to fund finance. Questions about what a given investor is owed are answered from the record built during formation, rather than by returning to the underlying documents.
