Recital
by Recital Software
Recital is a contract data platform designed to help in-house legal teams centralize and structure contracts from the systems they already use. The platform connects to email, cloud storage, shared network servers, local storage, and legacy systems to identify, organize, and structure contracts without requiring data migration or changes to existing workflows.
By consolidating and structuring contract data, Recital enables legal teams to review documents, track key terms, and make contract information available to other business functions through reporting, exports, or integrations.
Use Cases
Handling Renewals
Recital extracts renewal dates, termination windows, and pricing-related provisions as contracts are ingested. This allows legal teams to monitor renewal timelines across a contract portfolio, track notice periods, identify auto-renewal terms, and flag contracts that require review ahead of key dates.
Due Diligence Readiness
For mergers, acquisitions, and similar transactions, Recital organizes contracts sourced from email, cloud storage, and legacy systems. The platform groups related versions, maps relationships between documents, and extracts provisions such as change-of-control terms, liability clauses, and regulatory obligations to support review and analysis.
Contract Data Across the Business
Structured contract data can be shared with finance, sales, IT, procurement, and other teams that rely on contract information for forecasting, negotiations, compliance, or spend analysis. Data can be accessed through reports, exports, or integrations without requiring requests to be routed through legal.
Features
Auto-Repository
Recital connects to existing contract sources and identifies contracts within mixed file environments, including email, cloud storage platforms, shared network servers, and local storage. The system groups versions, removes duplicates, maps parent-child relationships, and maintains version history without manual tagging.
Contract Data Extraction
The platform extracts structured data during ingestion, including contract metadata (such as parties and dates) and selected legal provisions (such as termination rights and liability terms). Extracted data remains linked to the source documents and can be searched, filtered, and reported on as new contracts are added.
Contract Comparison and Review
Recital maintains version histories and associates new drafts with existing contracts. Users can compare versions within the platform or through a Word add-in, including generating redlines and referencing clause history. Comparison results can be reviewed in Recital or in Word.
Contract Reporting
The platform supports reporting across structured contract data, including parties, dates, terms, and provisions. Data can be reviewed within the platform or exported as structured files, such as CSVs, for use in audits, reviews, or other systems.
Setup and Integrations
Recital is configured by connecting existing systems, including email, cloud storage, shared network servers, and local storage. Once connected, the platform begins identifying and organizing contracts without requiring workflow changes or formal data migration.
Security
Recital applies encryption for data in transit and at rest and operates with ongoing technical monitoring. The platform is hosted on third-party infrastructure and undergoes regular security scanning, patching, and code review. Recital reports compliance with SOC 2 Type II and Google CASA requirements, and internal access to production data is restricted and logged.
Data Portability
Customers retain ownership of their contract documents and structured data. Contracts and extracted data can be exported, allowing organizations to retain or transfer their data as needed.
