Overview

Marveri is a due diligence platform built specifically for transactional legal work: M&A, venture financings, and other corporate transactions. It analyzes a company's entire document history at once, including data rooms, corporate records, financing documents, and client files, to produce the cited work product deal teams are responsible for delivering.

Key Features & Functions:

Data Room Organization
Structures and renames entire data rooms or sets of client documents using user-defined naming conventions and folder hierarchies, across commercial agreements, IP documentation, board minutes, financing documents, and HR materials.

Missing Document & Signature Detection
Flags absent approvals, amendments, and documentation, identifies documents referenced but not produced, and detects agreements that are not fully executed.

Comparison & Redlining at Scale
Compares two documents or twenty in a single operation, surfacing changes across versions and tracking how terms vary across parties or evolve over time.

Cross-Document Analysis
Answers any question across the entire document set with a structured, cited report. Provisions such as change-of-control, assignability, exclusivity, and governing law are surfaced across every document at once, each result explained and linked to its source.

Diligence Reports
Reviews and cross-references every document in a data room to produce a comprehensive, fully cited report covering corporate governance, capitalization, employment, material contracts, intellectual property, and litigation.

Request Lists
Responds to any diligence request list against the entire data room on the sell-side, and shows how a target should be responding on the buy-side. Automatically generates supplemental requests for documents that are missing or incomplete.

Disclosure Schedules
Reads every representation and warranty in the purchase agreement, maps each to responsive documents across the data room, and drafts the full schedules, exported to Word with every disclosure cited to its source.

Cap Table Tie-Outs
Reconstructs and verifies the cap table against the underlying record, checking each issuance, conversion, and 409A valuation, and flagging figures that don't reconcile across sources.

Every Marveri output links back to its source document, so findings can be verified rather than taken on trust. Marveri was developed by former BigLaw transactional attorneys alongside AI researchers from MIT, with SOC 2 Type II certification, encryption in transit and at rest, role-based access control, and no training on client data.
