It gives law firms a simple, integrated way to manage confidential documents during due diligence and other deal processes without needing a separate data room tool.

Self-Service Data Room Setup Lawyers can create and structure a data room independently, without IT support. Documents can be uploaded via drag-and-drop, imported from iManage or NetDocuments, or bulk-loaded using an Excel index or ZIP file. Folder hierarchies with automatic numbering maintain consistency with transaction indexing standards.
Granular Permissions Management Access controls are configurable at both the folder and document level, allowing teams to define who can view, upload, download, or edit specific materials. External parties — including clients, counterparties, and advisors — can be granted secure access without requiring a login to a separate platform.
Automated Audit Trail Every action taken within a data room is logged automatically. The time-stamped audit trail captures uploads, downloads, permission changes, and document views, providing compliance documentation without manual record-keeping. A full Excel index of the data room can be exported at any time.
In-Browser Document Previewing and Version Control The module supports in-browser previewing of PDFs, Word, Excel, PowerPoint, and email files. Version control functionality allows users to restore earlier document versions, and configurable notifications alert team members to new uploads.
Integration with Transaction Workflow Because Data Rooms is embedded within the Legatics platform alongside Lists, Signing, and Binders functionality, teams can manage the full transaction lifecycle — from due diligence through closing binder compilation — within a single workspace. Bulk export back to iManage or NetDocuments is available at transaction close.
