Leela Works
Leela is an AI agent for contract negotiation that works entirely by email, operating alongside in-house legal teams, deal desks, procurement groups, law firms, and the sales and corporate development staff who work with them.
Key features and functions include:
Contract review against a playbook
A counterparty’s draft is forwarded with a note on who the user acts for and what is needed back. Leela returns, in the same thread, an issues list in which every point cites its clause and states the risk and playbook position, a tracked-changes redline on the counterparty’s paper with numbering and cross-references intact, and a summary memo.
Redline rounds
When a counterparty’s response arrives, Leela compares it against the version that was sent, not the original draft, and updates the issues list with what was accepted, countered, or newly raised. A change the counterparty did not mark as tracked is reported with the affected text quoted.
Counterparty markup sorting
When a counterparty returns a document with its own tracked changes, Leela works through each one and sorts it as accepted, pushed back on with standard language, or held for the user’s decision, returning a redline with a comment against each change.
Draft comparison
Given two versions of a document, Leela reports every change, which side it favors, and what it affects, comparing against the version that was actually sent regardless of how the counterparty describes it.
Clause answers
Leela answers questions about a signed agreement by citing the specific clause relied on, and states when the agreement is silent on a point rather than inferring an answer.
Playbook building
Leela drafts a negotiating playbook from a set of previously signed agreements, recording the shared position as the standard, the furthest position reached as the fallback, and a consistently refused term as the walk-away, each cited to its source agreement and clause.
Contract summaries
An agreement can be summarized on one page covering parties, term, transfer restrictions, reserved matters, and exit provisions, with unusual provisions flagged to their clause.
Conformance checking
Leela checks one document against another it is meant to reflect, such as a side letter against a term sheet, and states whether each provision was agreed, agreed in a narrower form, or not agreed.
Document formatting repair
A document’s numbering and cross-references can be corrected without altering its language, with every edit tracked; defined terms can also be renamed throughout, including in schedules.
Package-wide provision consistency
Across a multi-document transaction package, Leela tracks how a named provision, such as a knowledge qualifier, is carried through the documents and reports every place its definition or application differs.
