DocChief AI gives startups and their outside counsel a single, structured record of a company's corporate history, built directly from its signed documents.
Key Features and Functions include:
Document intelligence. Users upload certificates of incorporation, board and stockholder consents, stock purchase agreements, option grants, SAFEs, convertible notes, and other corporate records. DocChief classifies each document and extracts the parties, dates, share issuances, approvals, appointments, and relationships it contains. Each extracted item links back to the page it came from.
Cap Table Health Check. DocChief compares the cap table against the underlying documents and reports discrepancies, including issuances without board approval, missing signatures, and gaps in the chain of authorization. Each finding cites the documents that support it, so counsel can confirm and resolve it.
Corporate events timeline. Issuances, financings, appointments, and other corporate events are assembled into a dated timeline, giving lawyers a complete view of what happened, when, and under what approval.
Virtual data room. Documents are organized for due diligence and shared through secure links with view tracking, so the company and its counsel can see which investors or acquirers opened which documents.
Cited search. Users can ask questions in plain language, such as which consents approved a given issuance, and receive answers with citations to the source pages.
Ongoing monitoring. Because the record is maintained continuously rather than assembled once per transaction, law firms can use DocChief to monitor client companies between financings, identify issues early, and enter each financing or acquisition with clean, verified records.
