Diliforce

Diliforce (formerly ContractZen) is an AI-powered governance platform that unifies board management, contract management, legal entity management, virtual data rooms, and e-signatures within a single cloud-native environment, built on Microsoft Azure. It is designed for legal teams, general counsel, boards, and finance teams in small to mid-sized organizations and growth-stage companies that require consolidated governance tooling for audit readiness, fundraising, and M&A processes.

Key Features & Functions:

Board Portal
Board meetings are managed digitally from scheduling through to e-signing of minutes. The module provides secure access, structured workflows, and audit traceability for board members and executives, with document sharing and meeting materials managed within the platform.

Contract Management
Contracts are organized using metadata-driven views with AI-powered OCR and full-text search. Automated email reminders are configurable for key dates and deadlines, and a contract calendar and timeline provide visibility across the contract database. Documents can be imported by forwarding emails directly to the platform or via drag-and-drop upload. Microsoft 365 Outlook calendar integration surfaces contract reminders within Outlook.

Entity Management
Corporate records and ownership data are maintained with visual entity structures and centralized access across multiple legal entities.

AI Assistant
Powered by Microsoft Azure OpenAI, the AI Assistant provides document analysis, automated metadata extraction, contract summarization, multilingual translation, and clause and template drafting. AI interactions are conducted within the platform's encrypted environment, with data not used for model training.

SmartIndex and Virtual Data Rooms
Secure virtual data rooms can be configured for due diligence and audit processes, with metadata-driven indexing, audit logs, and granular access controls. SmartIndex provides metadata-based organization and retrieval across document sets.

E-Signatures
Electronic signatures are supported through integrations with multiple third-party e-signature providers, including Adobe Sign, DocuSign, Assently, SignHero, and VismaSign.
