Bonterms is a two-sided commercial contracting platform that allows parties to send, agree to, and sign Standard Agreements through a structured negotiation workflow designed to replace document-level redlining.

Standard Agreements Library
Bonterms provides a library of free-to-use, neutral Standard Agreements developed by a standing committee of 120+ lawyers through multiple rounds of expert review. Agreement types include Mutual NDA, One-Way NDA, Cloud Terms, AI Addendum, Service Level Agreement, Business Associate Agreement, Data Protection Addendum, Professional Services Agreement, Software License Terms, Climate Addendum, Online Cloud Terms, and marketplace agreements. Standards are released under CC BY 4.0 licensing.

Two-Sided Deal Platform
Senders configure preferred Key Terms and pre-approved fallback positions within the platform. Recipients access deals via a link without creating an account and can review, respond to, and agree to terms through a guided interface.

Auto-Accept Alternatives
Senders can configure automatic acceptance parameters so that certain counterparty requests are approved without manual review, enabling faster cycle completion on routine terms.

Standard and Internal Playbooks
Users can define pre-approved negotiation playbooks governing how individual terms are handled. Standard Playbooks reflect market norms; Internal Playbooks reflect positions pre-approved by the legal team.

E-Signature Integration
Once parties reach agreement on terms, the platform routes execution to DocuSign or Dropbox Sign using the recipient's existing account, without requiring a separate signature tool.

Bonterms AI (Bonterms Compare)
Bonterms Compare allows users to upload an existing agreement. The AI tool identifies differences from the relevant Bonterms Standard and suggests Additional Terms to bridge the gap. Standard Agreement text is authored by humans; AI functions as an analysis and suggestion layer under user control.

DocuSign Extension App
A dedicated extension enabling Bonterms Standard Agreement workflows from within the DocuSign interface.

Bonterms was founded by Todd Smithline, a commercial transactions attorney with over 30 years of experience who teaches at UC Berkeley School of Law. Investors include XYZ Venture Capital, Next Coast Ventures, and the law firm Wilson Sonsini.
