Due Diligence

Due diligence software automates the onerous, repetitive, large scale contract review work required to assess risk and gather information ahead of a transaction, in much the same way that eDiscovery tools automate document review in litigation. A typical solution connects to a virtual data room or accepts an uploaded document set, classifies documents by type, and applies pre-trained provisions and clause libraries within a review interface purpose built for diligence workflows, letting reviewers quickly identify and extract key terms such as change of control, indemnification, and termination provisions across large volumes of contracts. As large language models have matured, these tools increasingly go beyond simple extraction, supporting more substantive analysis, gap and variance detection across a document set, and structured, client ready report or memo generation, improving both the depth and speed of diligence output. This area has become increasingly competitive, with solutions ranging from dedicated diligence specialists to end to end transaction management platforms that extend into diligence functionality, and some vendors are pushing further still into adjacent transactional deliverables such as disclosure schedules and closing checklists generated directly from diligence findings.
